IMPORTANT: READ CAREFULLY PRIOR TO CLICKING THE "Accept" BUTTON. BY APPLYING TO BE A MEMBER OF THE OCTASIC RESELLER PROGRAM YOU AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.

Purpose. The Octasic Reseller Program (the “Program”) is a strategic co-marketing program offered by OCTASIC and focused on providing members with business opportunities and technological advantages to leverage OCTASIC's SoftEcho for Asterisk® echo cancellation software product. The purpose of the Octasic Reseller Program Member Agreement (the “Agreement”) is to set forth the terms under which OCTASIC appoints the MEMBER as a participant in the Program, and the benefits of the Program.
Appointment. The MEMBER understands that the Program is voluntary and OCTASIC may expand, change the scope or contents of, and/or delete, any benefits offered under the Program. OCTASIC also reserves the right to amend or modify the obligations and requirements of the Program.
Trademarks/Logo/Registered Marks. Nothing in this Agreement shall be construed as granting to the MEMBER a license to use OCTASIC trademarks, trade names, or logos. Any such rights in connection with the Program are governed in this Agreement. Notwithstanding the foregoing, provided that the MEMBER is in full compliance with the terms of this Agreement, the MEMBER may identify itself as an authorized participant in the Octasic Reseller Program.
1. Logo – Definition. “Logo” shall mean the Octasic Program logo depicted in the attached Exhibit A.
2. Logo – Usage. When using the Logo, the MEMBER must comply with these specifications:
  1. The Logo may only be used on the MEMBER's business cards, advertising, collateral materials, product packaging, website, and promotional items pursuant to OCTASIC approval.
  2. The MEMBER's corporate name, logo, or product name must appear on any materials where the Logo is used.
  3. Except for size subject to restrictions herein, the Logo may not be altered in any manner, including proportions, colors, typeface, elements, or animated, morphed, or otherwise distorted in perspective or dimensional appearance.
  4. The Logo may not be combined with any other symbols including words, logos, icons, graphics, photos, slogans, numbers, or other design elements.
  5. The Logo (including but not limited to OCTASIC's logo, logotypes, trade dress, and other elements of product packaging and web site) may not be imitated in any of the MEMBER's materials.
  6. The Logo must stand alone. A minimum border of empty space, 1/4x wide, where x equals the height of the Logo, must be left between the Logo and any other object such as type, photography, borders, edges, etc.
  7. The Logo shall be attributed to OCTASIC in all print and web materials where it is used, with the statement: “Octasic's Reseller Program”.
  8. Color applications of the Logo that shall be used are as follows: Octasic (Blue PMS 5405), Orbit with upper dot (Orange PMS 159), Orbit with lower dot (Blue PMS 5405).
Company Obligations. To maintain its status and the benefits of participation in the Program, the MEMBER agrees that it shall fulfill the following obligations.
1. Website. The MEMBER shall use the Logo on its website to provide a hyperlink from the home page to the SoftEcho for Asterisk® product web page http://www.octasic.com/en/octware/applications/softecho_asterisk.php or such other website as OCTASIC may reasonably designate.
2. Support for Reseller Program. Upon request, an authorized representative of the MEMBER shall provide quotes evidencing the MEMBER's support of OCTASIC's products. The MEMBER hereby authorizes OCTASIC to use the MEMBER's name and logo in connection with announcements, press releases and other events and presentations concerning the Program and in full respect of this Agreement. In addition, the MEMBER agrees to include an announcement regarding the Program in the MEMBER's customer communications.
3. Contact. The MEMBER shall designate one contact person for communicating with OCTASIC on details concerning the membership to the Program within ten (10) days after the Effective Date.
Member Benefits
1. Website. OCTASIC shall display the MEMBER's logo and product name with hyperlink to MEMBER's website on OCTASIC Reseller Program web page.
2. Tradeshows and Events. OCTASIC may invite the MEMBER, at the MEMBER's expense, to exhibit its products at selected tradeshows and events in accordance with the terms of any applicable exhibitor agreement and subject to space availability.
Term. This Agreement will remain in effect until five (5) days after either party provides a written notice to the other party of its intent to terminate the Agreement.
Governing Law/Jurisdiction/Attorneys' Fees. This Agreement shall be governed and construed in accordance with the laws of Québec, Canada, notwithstanding its conflicts of laws and principles. Each party will be responsible for covering their respective costs and expenses in performing their duties under this Agreement, unless expressly provided otherwise in this Agreement.
Independent Contractors. The parties hereunder are operating as independent contractors, and nothing in this Agreement shall be construed as creating a partnership, franchise, joint venture, employer-employee or agency relationship.
Entire Agreement. This Agreement, including all Schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or communications. It shall not be modified except by a written agreement signed on behalf of the MEMBER and OCTASIC by their respective duly authorized representatives.
